Senior Legal Counsel
MAIN JOB PURPOSE:
To provide legal advice to the business and anticipate, identify and manage legal risks that affect the business in Kenya and other East African Markets. The role holder will also liaise with the Business Integrity (BI) team on the delivery and implementation of Code Of Business Principles (COBP) specific structured awareness and training and deliver the Business integrity Agenda as required.

JOB SUMMARY
- Partners with line management to identify the options for achieving business objectives within appropriate legal constraints and will advise on the optimal solution, considering cost, risk and commercial consequences, laws and regulations relevant to business operations.
- Provide update on all changes to laws and regulations within the territory of operations.
- Effective management of legal risk e.g. through clear commercial advice to business functions, contract negotiation and documentation, management of litigation, brand-building, labor law brand protection locally, competition/antitrust, training of staff and driving ethical and compliant behaviour to drive sustainable growth.
- To manage litigation and dispute resolution by or against the business including management of external counsel and other service providers.
- To attend and support the various business leadership team meetings as well as other legal leadership meetings and support the General Counsel in providing secretarial services to the board(s) of directors of the various Unilever entities and their subsidiaries.
- To oversee and manage activities or transactions affecting property belonging to the business including ensuring compliance with the terms under which title to the property is held.
- To support in the drafting, reviewing, negotiation and finalization of legal documents pertaining to the Unilever business.
- Establishment and implementation of COBP specific structured awareness and training as directed by the BI leadership
- Interface with external regulators
- To advice and respond to queries on arising legal issues affecting the business.
KEY SKILLS
- Bachelor of Laws (LL. B) Degree),
- Call to Bar (Dip KSL) have a current practicing certificate
- Certified Public Secretary (CPS)
RELEVANT EXPERIENCE
- 8-10 years post-qualification experience in Corporate/commercial Law practice or related job experience.
- Good working knowledge of the Microsoft Office suite
- Strong commercial law background with focus on Commercial contracts, product liability, Intellectual Property, Employment law, anti-trust, litigation, Company Secretarial practice, Data and Privacy law.
- Proactive, open, and outward looking attitude
- Good analytical skill and ability to work with line managers and others as a team.

Legal Intern
MAIN JOB PURPOSE:
The role will provide legal support, research , drafting and advisory services to the legal team and the business when required through proactive identification, communication and mitigation of legal risks within the business.
JOB SUMMARY
- Identifies legal risks and helps the business navigate them, providing legally compliant creative solutions which deliver competitive advantage to the business objectives taking into account compliance, reputation, cost, risk and other consequences.
- Advises communications, industrial relations, tax and finance on statutory obligations under the relevant legal Acts and associated legislation and regulations relating to matters such as governance frameworks, share dealing and associated disclosures, directorships, annual accounts, company incorporations, acquisitions, disposals, restructurings.
- Development and maintenance of relationships with relevant external contacts (e.g. external lawyers, registrars, regulators, external bodies etc).
- Contracts and other legal documents –Review and draft legal contracts and other legal documents generally
- Manage records of contracts & other legal documents deposited with Legal department for safekeeping.
- Litigation Support – provide support to Unilever representation at court sessions and follow up of external advocates to deliver value for legal fees paid.
- Facilitate appropriate legal documentation and witnesses for the litigation process responsible for litigation update reports
- Legal review – Facilitate the availability of laws and regulations relevant to company operations research and review laws and regulations regulating the company advisor on all changes to laws and regulations
- Services Management/ Rates & Rents – Insurance and licensing manage the company’s lease portfolio alert the relevant functions on expiry of leases and facilitate renewal and termination of leases facilitate payment of rent and rates.
- Process Artwork approval
- Management of employee staff Loan schemes
- Provided support on Company Secretarial responsibilities for the operating entity.
- Facilitate notarisation of documents and Affidavits in Court.
- Provide other ad hoc legal services as may be required from time to time
KEY SKILLS
- A graduate of Law (LL.B)
- Undergoing pupillage training with a view to admission to the Bar (Dip KSL)
- Certified Public Secretary (CPS) will be an added advantage
